Suspension of Search/Availability in our Nodal Offices

This is to bring to the notice of our esteemed Customers that commencing from 1st September, 2016 application for Name Search/Availability will be suspended in our Abuja (Head Office and FCT Wuse Zone 5 Office), Enugu, Kaduna, Kano and
Port Harcourt Offices.

Customers will be required to make their entries online through the Companies Registration Portal (CRP) and print the result themselves.

This notice is in furtherance of the Commission’s drive to deepen the use of the CRP for the benefit of the Customers.

CAC CHARGES NGO’s TO FUNCTION IN ACCORDANCE WITH THE INTERNATIONAL STANDARD

The Corporate Affairs Commission in collaboration with the Nigerian Network of NGO organized a Round Table Workshop for Nigerian Network of NGOs in Lagos recently. The Workshop with a theme; Achieving Global Best Practices in NGOs and Management was coordinated by the Incorporated Trustees Department of the CAC to provide and ensure, prompt, efficient registration and supervisions of all Incorporated Trustees (NGOs). This equally brings to the fore the necessity to close up the knowledge gaps that exist among the network members in relation to the new registration and post registration processes.

In her opening remark, the Representative of the Registrar-General, Director, Incorporated Trustees, Hajia Saratu Shafii, said that NGOs activities should be conducted strictly in line with their aims and objectives as stated in their constitution and the provisions of the Companies and Allied Matters Act as well as Regulations made there under.

She stated that in the course of discharging regulatory roles and responsibilities, the Commission realized that some NGOs are not operating in accordance with laid down requirements hence the desire to ensure that all NGOs function optimally in the national interest.

She further stated that in line with the Commission’s policy focus in the area of sensitization and enlightenment, the decision to hold the workshop has become imperative and timely.

Paper presentations were made by various resource persons and stakeholders who noted that legendary roles need to be played by the NGOs in assisting the government to attract development in various sectors of the economy. This stimulated constructive feedback and debate among participants.

Key among the resource person were the Executive Director, Nigeria Network of NGOs, Oluseyi Babatunde Oyebisi and Athony Ubani, CEO, Africa Leadership Advance.

Dignitaries in attendance were the representative of the Director, Special Control Unit Against Money Laundering, Mathew Enu and the CEO, BVS Professional Service, Yemi Abaola-John.

At the end of the workshop a communiqué was released part of which advised the Nigerian Network of NGOs to explore the example of other jurisdictions where umbrella bodies of NGO’s have adopted and embarked on self regulations by developing Quality Assurance Management (QUAM) standard to raise the bar in corporate governance.

Furthermore, that NGOs should align their activities with Sustainable Development Goals (SDGs) of the Federal Government and practice robust corporate governance in order to be relevant and sustainable beyond the next few years.

Introduction of New Form CAC1.1 in place of CAC 2, 2.1, 4 & 7

This is to inform our esteemed Customers and the general public that as part of majors to ease the doing of business in Nigeria the CAC has introduced new application form for registration of companies under Part A of CAMA known as CAC1.1

The new form has consolidated the previous forms CAC2, 2.1, 4 and 7.

The Form CAC1.1 has come into use immediately and the old forms are still acceptable until the last day of March, 2017. Customers are advised to download the  Form CAC1.1 and fill accordingly. Click here to download the form

NOTICE ON DEPLOYMENT OF DOCUMENT UPLOAD INTERFACE

This is to inform our customers and the general public that they can now scan, and upload their incorporation documents for processing through our document upload interface available on the Commission’s website starting from Monday 6th March 2017.

The Commission will approve the application on the strength of the scanned documents print registration certificate certify the MEMART  and Form CAC 1.1.

The original documents will now be submitted by customers at the point of collection of the certificate of registration and the certified true copies of the incorporation document..

Please note that the Commission must be satisfied that the original documents are the same with the copies already scanned before releasing the Certificate of registration and the CTCs.

Third Amendment to the Companies Regulation 2012

Pursuant to the powers vested in the Honourable Minister under the Companies and Allied Matters Act and other powers enabling him in that behalf, the Honourable Minister of Industry, Trade and Investment has approved a Third Amendment to the Companies Regulation 2012 as follows :

REGULATION 3 shall now read as follows:

HOURS OF TRANSACTION OF BUSINESS AND SERVICE DELIVERY PERIOD

3 (a) The  hours of transaction of business with the public shall be from 9am to 7pm in the Head office and such other offices as the Commission may designate.

b) The Commission shall deliver services to customers within a period not exceeding the following :
  •    1) Decision on Request for Name Approval – 12 hours from submission of request.
  •    2) Consent for Restricted Names – 24 hours from submission of duly completed application.
  •    3) Registration of Companies, Business Names and Incorporated Trustees-24 hours from submission of duly completed documents.
  •    4) All Post Registration filings – 24 hours from submission of duly completed documents.

REGULATION 11 (2) shall now read as follows:

SUBMISSION OF ORIGINAL COPIES AFTER  APPROVAL OF  DOCUMENTS DELIVERED BY  ELECTRONIC MEANS

11 (2) Where documents are delivered  for    filing by  electronic means,  the Commission  shall approve  the application without the  necessity of sighting the original  documents  provided all requirements have been  complied with and may require the  original  documents to be delivered  thereafter either  personally or by post.

DEPLOYMENT OF ELECTRONIC STAMPING SYSTEM FOR COMPANY INCORPORATION

This is to inform our esteemed customers that as part of on-going reforms towards making the process of company incorporation faster, easier and cheaper, the CAC has integrated it’s Company Registration Portal (CRP) to the Electronic Stamp Duty Portal of the FIRS.

Customers no longer have to submit incorporation documents to Commissioners of Stamp duty for assessment and physical stamping. Kindly take advantage of the new system by initiating your incorporation on the CRP. The stamp duty interface is available immediately after you complete the application form and the memorandum and articles of association on the CRP.

Customers are required to download and print the documents of incorporation for execution by the directors and subscribers and the certificate of stamp duty . All the incorporation documents as well as the means of identification and proficiency certificates (where applicable) should be uploaded after execution through the CAC document upload interface. The link is available on the CAC website.

The CAC will register your company on the strength of the information you  uploaded. However,  you are expected to surrender the original documents to CAC in exchange for your certificate of registration.

CAC CLOSES MANUAL REGISTRATIONS IN FIVE STATES AND FCT

The Corporate Affairs Commission (CAC) will no longer accept physical submission of new applications for registration in six State Offices, according to Mr. Bello Mahmud, the Registrar-General of the Commission.

Speaking on Monday at a news conference in Abuja, Mahmud listed the six offices in which only online applications now apply to include Enugu, Kaduna, Kano, Lagos, Port Harcourt and Abuja.

“Customers processing new registration in these locations shall directly complete the application forms and other relevant information and pay the registration fee as well as Stamp Duty on the Company Registration Portal,” he said. “Customers can upload all necessary documents through the Commission’s upload interface. These services can be accessed on: www.cac.gov.ng and https://services.cac.gov.ng

The Registrar-General explained that the move to go fully online is to guarantee uninterrupted availability of services and ensure efficient service delivery to customers.

“The online registration is cheaper, faster and convenient as transactions can be conducted from the comfort of homes and offices,” Mahmud said.

In order to ensure seamless operation of the Company Registration Portal and zero downtime, Mahmud said that the Commission has concluded the process of transferring the hosting of its main database and operating software to Main-One-Data Centre in Lagos. “This will ensure 99% uptime thus ensuring efficient registration services,” he said.

According to the Registrar-General, the CAC is totally committed to one of the focal objectives of the Federal Government through the Presidential Enabling Business Environment Council (PEBEC), to improve the business environment in Nigeria.

The CAC was established by the Companies and Allied Matters Act (CAMA), 1990 as the sole Government agency responsible for registration and regulation of Companies, Business Names and Incorporated Trustees/NGOs in Nigeria.

CLOSURE OF SUBMISSION OF MANUAL APPLICATIONS FOR NEW REGISTRATION

RE: CLOSURE OF SUBMISSION OF MANUAL APPLICATIONS FOR NEW REGISTRATION OF COMPANIES, BUSINESS NAMES AND INCORPORATED TRUSTEES IN THE HEAD OFFICE AND ALL START-TO FINISH OFFICES

This is to inform our esteemed customers and the general  public  that  the  closing  date  for  receipt  of Manual Applications, for new registration in Abuja, Lagos, Port Harcourt, Enugu, Kano and Kaduna offices has been extended to now take effect from Monday 15th May, 2017.

This is to allow for a seamless and smooth transfer of the Commission’s enterprise and database servers to a Tier–Three Data Centre that will guarantee uninterrupted availability of services 24/7.

The Commission regrets any inconvenience this postponement may cause.

AMENDMENT TO COMPANIES REGULATION 2012

Pursuant to the powers vested in me under sections 16, 585 and 609 of the Companies and Allied Matters Act and other powers enabling me in that behalf, I hereby approve amendments to the Companies Regulation 2012 as follows –

1. REGULATION 3 shall now read as follows –

Hours   of   Transaction    of   Business    and   Service   Delivery Timelines

3 [a]         The Commission shall be open to the public for business from 9am to 7pm, Monday to Friday in the Head Office and such   other   offices   that   the   Commission   may designate from time to time.

3 [b]         The Commission shall deliver services to customers within a period not exceeding the following:-

i. Decisions on request for name reservation – 12 hours from submission of request.

ii. Registration  of   Companies,    Business   Names   and Incorporated Trustees – 24 hours from submission of duly completed documents.

2.      REGULATION 11  shall now read as follows –

Delivery of Application to the Commission

11  [a]   An  application  for new  registration  may  be delivered  to the Commission    in   hard   copies   in   designated    location   or through electronic  means by any of the following  persons –

i. A Legal    Practitioner, Chartered Accountant or Chartered Secretary duly accredited by the Commission as an agent;

ii. A First  Director or Subscriber to  the  Memorandum   of Association   in respect  of  new  registration  under  Part A of CAMA;

iii. A Proprietor or Partner in respect of application under Part B of CAMA;

iv. A Trustee in  respect  of  new  registration   under  Part  C of CAMA:

v. A duly appointed Secretary in respect of post-incorporation application under Parts A and C of CAMA.

11  [b]   Where   application   for   new   registration   under   Part  A  is presented  by any of the persons mentioned  in Regulation  11 [a] [ii] above,   the Statutory  Declaration  of Compliance   shall be deposed  to by a Legal  Practitioner  in the  Service  of the Commission  and the  presenter  shall  pay the  sum  of  N500 only to the Commission  as  cost of notarization.

11 [c] Where  an application   is  delivered  to  the  Commission   by electronic means,     the   Commission    shall   process    the application based on the duly  completed  electronic  copies  of documents submitted  by the Customer.

11  [d]  Customers   would   be  required   to  deliver   originals   of  the application   documents  to the Commission  upon completion of the registration  process.

3. (I) SCHEDULE    1
INDEX OF CAC FORMS
That forms CAC 2, 3. 4 and 7 listed as items 3, 8, 9 and 10 in Schedule 1    of the Companies Regulation 2012 are hereby replaced with the new consolidated form CAC 1.1 hereby attached as Annexure ‘A’.
(ii) SCHEDULE  3
FEES
That Schedule 3 of the Companies Regulation 2012  is hereby amended by adding as follows:
Cost of Notarization – N500.00

2016 PROMOTION EXAMINATION RESULT FOR MANAGERS & BELOW

APPOINTMENT AS ACTING REGISTRAR-GENERAL OF CAC

Please be informed that a new Acting Registrar-General of the Corporate Affairs Commission (CAC) has been appointed with effect from 9TH October, 2017 by the Honourable Minister,Federal Ministry of Industry,Trade and Investment Dr.Okechukwu Enelamah.

The Acting Registrar-General is Lady Azuka Obiageli Azinge who until her appointment was the Director, Registry Department.

She will continue to act in that capacity until a substantive Chief Executive Officer is appointed.

Lady Azuka Azinge takes over from Bello Mahmud following the expiration of his tenure as the Registrar-General of CAC.

FEDERAL GOVERNMENT INAUGURATES CAC BOARD ALONGSIDE OTHERS

The Minister of Industry, Trade and Investment, Dr. Okechukwu Enelameh has inaugurated the Governing Board of Corporate Affairs Commission (CAC), alongside other Agencies and Parastatals under his Ministry with Prince Dapo Abiodun as the Chairman of the CAC.

In his Inaugural Speech, the Minister congratulated the Board Chairmen and members for their well deserved appointment stressing that he recognized the important role of the Board in the management and oversight of Agencies.

He commended President Mohammadu Buhari for the calibre of men and women appointed into the Governing Boards, adding that the Federal Government was committed to the Change Agenda of tackling security issues, corruption and revitalizing the national economy.

Dr. Enelameh recalled that Economic Recovery Growth Plan 2017 – 2020 was articulated in February, 2017 as a Comprehensive Medium-Term Plan to revitalize the economy on the path of sustainable growth and development.

He pointed that his Ministry was playing a pivotal role in the implementation of economic and recovery growth plan and was working with Ministries, Departments and Agencies to achieve these goals even as he noted that his Ministry overseeing 17 Parastatals and Agencies cannot achieve the goals without the active support of MDAs and Parastatals.

It was within this context that the roles of governing boards of agencies and parastatals being inaugurated must be appreciated as crucial to the success of the Ministry and revitalization of the economy.
He further stated that the Board was to provide the policy guidelines, ensure efficient management of resources to achieve the set target of the parastatals and agencies.

Dr. Enelameh urged them to work in harmony with the Ministry and Management of their respective agencies to ensure that the goals set for the organizations were achieved.

‘Abide by operational guidelines and have clear understanding of your roles and responsibilities and be clearly communicated to avoid conflicts’. The Minister charged.

He reiterated that the Chief Executives of the organizations are charged with the day to day management of the affairs of the parastatals and agencies in accordance with the objectives and targets set by the Boards even as the Boards were not expected to be involved directly in the day to day management of the parastatals and agencies.

Responding on behalf of the newly inaugurated Boards, the Chairman, Governing Board of the National Sugar Development Council (NSDC), Mallam Abdullahi Bolaji said that the new Boards would not take over the running of the Federal Government Agencies and Parastatals, rather they would deploy their skills to help their respective agencies deliver on mandate.

Governing Boards inaugurated alongside that of the CAC include; Nigerian Investment Promotion Commission (NIPC), National Automotive Design and Development Centre (NADDC), Consumer Protection Council (CPC), Nigerian Export Promotion Council (NEPC), Industrial Training Fund (ITF).

Others are Standard Organisation of Nigeria (SON), National Sugar Development Council (NSDC), Oil and Gas Free Trade Zone, SMEDAN, Nigeria Commodity Exchange, NEPZA, Lagos Trade Fair Management; and Tafawa Belewa Square.

REGISTRATION INITIATED WITHOUT PAYMENT PUBLIC NOTICE

The Corporate Affairs Commission (CAC) wishes to inform all its accredited Customers (Lawyers, Accountants and Chartered Secretaries), Public users and stakeholders that henceforth, any registration initiated without payment of filing fees will lapse upon the expiration of the reserved name, in accordance with the provisions of Section 32(2) of the Companies and Allied Matters Act.

SENATE COMMITTEE ON TRADE AND INVESTMENT VISITS CAC FACILITIES IN LAGOS

As part of its oversight functions, The Chairman, Senate Committee on Trade and Investment, Distinguished Senator Sabo Nakudu Mohammed and members of the Committee visited the Commission’s Office at Alausa, Lagos on Thursday, 8th March, 2018.

The visit to the facilities availed the Distinguished Senators the opportunity to have a first hand information on the activities of the Commission and its operations.

On hand to receive the Senators as well as take them on the guided tour of the facilities were the Chairman of the Board, Prince Dapo Abiodun, MFR and the Ag. Registrar-General (RG), Lady Azuka Azinge and her management.

The Ag. RG informed the Distinguished Senators, that the Commission’s target is to make the process of company registration as easy as possible such that it can be concluded within of 24 hours and thanked them for making out time for the visit.

Distinguished Senetor Nelson Effiong, who stood in for the Chairman of the Committee while thanking the Commission for the warm reception commended the Ag. RG for the giant strides she has made since she took over in October, 2017 as Ag. RG.

PUBLIC NOTICE- APPOINTMENT OF CORPORATE REPRESENTATIVES BY COMPANIES WITHIN THE MEANING OF COMPANIES AND ALLIED MATTERS ACT (CAMA)

Pursuant to an earlier circular on the above subject matter, the Commission immediately commenced the implementation of the following:

  1. That the concept of corporate representative is alien to CAMA and will no longer be accepted. Consequently, any written resolution signed on behalf of either a Nigerian or foreign Company would be accepted by the Commission notwithstanding the fact that the signature of the shareholder representative is not in our record and the document need not be under the common seal of the Company.
  2. That the practice of including corporate bodies as directors in new incorporation documents and Forms CAC 7A describing them as directors will no longer be allowed. Where an individual is appointed to represent a corporate body on the board of a company, the name of the individual must appear first followed by an indication of the Company the individual is representing e.g. Kunle Peters (Representing AYZ Nigeria Limited).
